1. Acceptance of Terms
By accessing or using Tapli™ ("Tapli," "we," "us," or "our"), including our website, platform, mobile applications, NFC products, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you and Tapli.
2. Eligibility
You must be at least 13 years old to use our Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using our Services, you represent and warrant that you have the legal capacity to enter into a binding agreement.
3. Account Terms
To access certain features of our Services, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
You may not use another person's account without permission. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to use our Services to:
- Violate any applicable local, state, national, or international law or regulation
- Infringe upon the intellectual property rights of others
- Upload, transmit, or distribute harmful, threatening, abusive, defamatory, or otherwise objectionable content
- Engage in phishing, spam, or fraudulent activities
- Distribute malware, viruses, or other harmful code
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the integrity or performance of our Services
- Collect or harvest personal information from other users without consent
- Use our Services for any purpose that is deceptive or misleading
- Create multiple accounts for abusive purposes
5. User Content
You retain ownership of content you create, upload, or share through our Services ("User Content"). By submitting User Content, you grant Tapli a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display your User Content solely for the purpose of operating and providing our Services.
You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third party's rights. We reserve the right to remove any User Content that violates these Terms or that we find objectionable at our sole discretion.
6. Intellectual Property
The Tapli name, logo, trademarks, and all related names, logos, product and service names, designs, and slogans are the property of Tapli. Our Services, including all text, graphics, logos, icons, images, audio, video, software, and other content, are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.
7. Payment Terms
Certain features of our Services may require payment. All payments are processed securely through Stripe. By purchasing a paid plan or NFC product, you agree to:
- Pay all applicable fees as described at the time of purchase
- Provide accurate and complete billing information
- Authorize us to charge your payment method for recurring subscription fees, if applicable
- Accept that prices may change with reasonable notice
Refund policies are determined on a case-by-case basis. Contact us for refund inquiries. Free plans, including student educational access, are provided at our discretion and may be modified or discontinued at any time.
8. NFC Products
Physical NFC products purchased through Tapli, including NFC business cards, NFC stickers, NFC table stands, and related accessories, are shipped as described at the time of purchase. NFC products are linked to your Tapli account and profile. We are not responsible for damage to NFC products caused by misuse, physical damage, or environmental factors. NFC functionality requires a compatible smartphone or device.
9. Third-Party Services
Our Services may integrate with or contain links to third-party websites, applications, and services. These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, accuracy, or practices of any third-party services. Your use of third-party services is at your own risk.
10. Termination
We may suspend or terminate your access to our Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us. Upon termination:
- Your right to use the Services will immediately cease
- Your profile pages, smart links, and QR pages will be deactivated
- We may delete your account data after a reasonable retention period
- Provisions that by their nature should survive termination will remain in effect
11. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE ANY SPECIFIC RESULTS FROM YOUR USE OF OUR SERVICES.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPLI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Tapli and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorney's fees, arising out of or related to your use of our Services, your User Content, or your violation of these Terms.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of or related to these Terms or our Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA), unless you opt out within 30 days of accepting these Terms. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Tapli regarding your use of our Services and supersede any prior agreements or understandings.
17. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of our Services after changes are posted constitutes your acceptance of the modified Terms.
